READY - ONLINE COURSE TERMS

PURPOSE

The purpose of these Online Course Terms (the “Course Terms”) is to explain the terms and conditions you agree to by purchasing READY hosted by THE WILD VOICE, INC. (the “Company”) and facilitated by Samara Hayes, commonly known as Samara Bay (“SB”).

PRIVACY POLICY & TERMS OF USE

The Privacy Policy and the Website Terms of Use located at www.samarabay.com (the “Website”) apply to these Course Terms and are incorporated herein by reference.

SCOPE OF SERVICES

READY is a 3-module digital course. By purchasing the Program through the Website, you will be receiving the following services:

9 lessons within 3 learning modules. Modules will be made available at time of purchase;
Downloadable worksheets, audio recordings, writing prompts, and exercises;
Access to the READY program content for one year from date of purchase.

You will not be receiving any private coaching or other products or services offered by the Company other than what is stated above. If you wish to purchase other products or engage in other Services offered by the Company or SB you must enter into a separate agreement.

PAYMENT & REFUNDS

You understand that payment is required to receive the Services.

Payment in Full. You are responsible for a one-time payment of $499.00.

Discount Price. If you've received a discount code, it's applicable during the week of September 7-September 13, 2022 ending at 11:59pm PT. With the code, you are responsible for a one-time payment of $299.00.

Free Access. If you apply (“nominate yourself”) for free access to the digital course and are accepted, you will have access to the course content for one year.

Failure to Pay. If you fail to make any payment or installment payment for any reason, you will not be entitled to participate in the Program and the Company reserves the right to suspend your participation until payment is made or to terminate your participation in the Program entirely after providing you with 7 calendar days’ notice in writing.

Refund Requests. If circumstances arise where the Company deems it necessary to issue a refund, refunds will be determined by the Company on a case-by-case basis. In no event will you be entitled to a refund for services already rendered.

YOUR DUTIES

READY is a digital course that requires you to participate in order to see your desired results. Your duties as a participant of the Program include: making the best effort including, but not limited to, consuming the content, completing any worksheets, assessments or assignments, making payments on time, abiding by the READY Rules including changes to the rules from time to time, and cooperating with requests for feedback and testimonials. The Company reserves the right to terminate your membership or participation in the Program for violating any applicable rules or creating an environment that does not align with the values of anti-racism and gender justice.

OUR COMMUNICATIONS

You understand the entire Program will be facilitated virtually. As a participant of the Program, you agree to use email [[email protected]] as the primary method of communication with the Company. The Company will not accept phone calls, text messages, and has no obligation to accept direct messages from any social media platform, or other methods of communication. In the event the Company or SB are unavailable, you will be notified in advance in writing.

NO PROFESSIONAL RELATIONSHIP

You understand that these Course Terms are an agreement to facilitate a digital course to provide you with supplemental support for your speaking and speech journey. There is no relationship invoking any type of legal, medical, or licensed nature between you and the Company, you and SB or any guests or representatives of the Company. Nor is there any relationship invoking duties and expectations of agency such as you being an employee or affiliate of the Company. If you are interested in engaging in a commercial relationship outside of these Course Terms with the Company or SB, you must enter into a separate agreement.

CONFIDENTIALITY

Although we strive to provide a safe environment for all participants, we cannot guarantee the confidentiality of the information you share in online spaces. You should treat any information shared in any group calls or social groups setting as public information. Information shared in 1:1 settings between you and SB will be kept confidential, unless you consent otherwise.

NO GUARANTEES

Nothing in these Online Terms and nothing in the Company’s statements to you shall be construed as a promise or guarantee about the outcome or development of your business or speaking aspirations.

GROUP COACHING

You understand that solely at the Company's discretion, SB will host an ever-other-month "pop-up Q&A" session via Zoom open to all READY participants for the duration of your course access. The Company is not responsible for the thoughts, expressions, content or actions from other individuals in any group setting. You also understand that participants may share personal or sensitive information with other individuals and, although the Company has made efforts to make the environment safe, secure, and inclusive, the Company cannot guarantee the information shared by you in group settings will be kept confidential by other individuals. You therefore understand you are sharing information with this risk in mind and should consider information shared in group settings to be public information.

INTELLECTUAL PROPERTY

The content provided in the Program including but not limited to live and prerecorded content, worksheets, videos, audio, logos, course names, coined phrases, graphics, and processes are the intellectual property of the Company and subject to protection by copyright and trademark law. Your purchase of READY does not give you a license to use the content in the Program for your commercial use or other use outside of the Program without the express written permission of the Company. You agree not to duplicate or share the content of the Program with third parties who are not participants of the Program. The Company reserves the right to revoke your access to content and materials, and terminate your participation, if necessary, if the Company has reason to believe you have violated these Course Terms or the company’s intellectual property rights.

PERSONAL ACCESS ONLY

Access to the Program is for one person only. You agree not to share your login information, course materials, or content with any other person or entity who has not purchased the Program.

FORCE MAJEURE

In the event that the Company is unable to perform under these Course Terms due to circumstances outside of the Company’s control including, but not limited to sudden extreme illness, an act of God, act of terrorism, flood, war, government laws and/or regulations, and technical difficulties, the Company shall not be held liable for any failure or delay of performance of their obligations under these Course Terms. In the event of a Force Majeure occurrence, the Company will exercise its best efforts to facilitate the Program including issuing a refund if the Company deems it necessary.

INDEMNIFICATION

You agree to defend, indemnify and hold harmless the Company and its agents from and against all third party claims, liabilities, losses, damages, costs, expenses, judgments and/or penalties arising out of or related to your participation in the Program.

TERM & TERMINATION

The Program shall commence on date of purchase. You will have access to program materials up to one year after the Program purchase date.

MISCELLANEOUS

Over the Age of 18: By purchasing the Program, you certify you are over the age of 18 or have your parent or guardian’s permission to agree to these Course Terms.

Amendments: These Course Terms may be modified by subsequent written agreement signed by you and the Company.

Assignment. You do not have the right to assign or transfer these Course Terms to another person or entity without the written consent of the Company.

Governing Law: These Course Terms are governed by the laws of the State of California and any applicable federal law.

Severability: If any provision of these Course Terms is held to be unenforceable for any reason, the remainder of that provision will be severable and remain in full force and effect.

Headings. The use of headings in these Course Terms are for organizational purposes only and have no legal effect.

Technology. The Company reserves the right to change the technology or method of delivery for the Program as necessary.

Dispute Resolution: Any disputes will be governed in accordance with the Website Terms of Use.

Entire Agreement: These Course Terms constitute the entire agreement between you and the Company with respect to READY. No other agreement, statement, or promise will be binding.

YOU'LL RECEIVE:

Three online course modules, three lessons each. The lessons are generally 15-20 minutes in length, all video-recorded and guided by Samara.
The modules cover a mix of PRACTICAL TOOLS and BIG PERMISSION WORK. Practical tools includes a warmup, unique tips on breath, tone, nerves, audience prep, and speech structure. Big permission work entails Samara's revolutionary approach to public speaking, including a clear-out of your mindgunk, discussion of the history of public spaces, an exploration of your own personal voice story and how it's affected your relationship to your voice, and dismantling of voice bias and voice standards.
